NZ Farming Systems Uruguay Annual Meeting Results

NZ Farming Systems Uruguay held it annual meeting of shareholders in Auckland on 15 October 2009. Details of the presentations provided at the meeting are available on www.nzfsu.co.nz.

Shareholders were asked to vote on four resolutions, three of which were supported by the Board. All resolutions were decided by poll. The results of the resolutions put to the meeting are as follows:

Appointment of Directors

Resolutions 1 and 2: John Suffield Parker retired and offered himself for re-election. Graeme Henry Wong retired and offered himself for election having been previously appointed by the Board of Directors subsequent to the 2008 Annual Shareholders Meeting. Each was elected by separate motions passed by ordinary resolution of shareholders.

Resolution 3: Paul Grogan offered himself for election and was not appointed as a director.

Fixing of Remuneration of Auditors

Resolution 4: PricewaterhouseCoopers were automatically reappointed as the company’s auditors under section 200 of the Companies Act 1993. A motion was passed by ordinary resolution of shareholders authorising the directors to fix the auditor’s remuneration for the following year for the purposes of section 197 of the Companies Act 1993.

Details of the total number of votes cast in person or by the proxy on the poll were as follows:

Resolutions 1: That John Suffield Parker be re-elected as a director:
For: 111,512,075 (96.62%)
Against: 3,900,686
Abstain: 281,700

Resolutions 2: That Graeme Henry Wong be elected as a director:
For: 110,926,764 (96.11%)
Against: 4,488,197
Abstain: 279,500

Resolutions 3: That Paul Grogan be elected as a director:
For: 4,899,728 (4.29%)
Against: 109,436,700
Abstain: 343,033

Resolutions 4: That the board of directors are authorised to fix the remuneration of the auditors, PricewaterhouseCoopers:
For: 114,532,597 (99.65%)
Against: 406,864
Abstain: 190,000
