February 28, 2017 NOTICE OF CHANGE IN FISCAL YEAR END PURSUANT TO NATIONAL INSTRUMENT 51-102 TO: BRITISH COLUMBIA SECURITIES COMMISSION ALBERTA SECURITIES COMMISSION Re: CHATHAM ROCK PHOSPHATE LIMITED (the "Company") As a result of the expected completion by the Company of the acquisition of all issued shares of Chatham Rock Phosphate (NZ) Limited ("Chatham NZ"), the Company hereby gives notice of its intention to change its financial year end from December 31 to March 31 in order to coincide with the year-end of Chatham NZ. Accordingly, the Company will be filing, in respect of its transition year, the following financial statements: 1. Unaudited interim financial statements for the 12 month period ending December 31, 2016 (with comparative figures to the period ending December 31, 2015). The filing deadline for these financial statements is March 1, 2017. 2. Audited financial statements for the 15 month period ended March 31, 2017 (with comparative figures to its old financial year end, December 31, 2015). The filing deadline for these financial statements is July 31, 2017. In addition, the Company will be filing, in respect of its new financial year, the following financial statements: a) Unaudited interim financial statements for the first quarter ending June 30, 2017 (with comparative figures to the period ending June 30, 2016); b) Unaudited interim financial statements for the second quarter ending September 30, 2017 (with comparative figures to the period ending September 30, 2016); c) Unaudited interim financial statements for the third quarter ending December 31, 2017 (with comparative figures to the period ending December 31, 2016); and d) Audited financial statements for the 12 month period ending March 31, 2018 (with comparative figures to its 15 month transition year end, March 31, 2017).
