Changes to Board of Directors

Airwork announces the appointment of Mr Wu Jie to its Board. Mr Wu is chairman of Zhejiang Rifa Holding Group Co. Ltd ("Rifa"), which completed a partial takeover of Airwork on 17 March 2017. Mr Wu will take the role of Chairman of the Airwork Board. It is anticipated that Rifa will look to make further appointments to the Board in the near future. As required by NZX Main Board Listing Rule 3.3.3(b), the Board has determined that Mr Wu is not an independent director. In accordance with the NZX Main Board Listing Rule 3.3.6, Mr Wu will retire and offer himself for election by shareholders at the 2017 annual meeting. Mr Hugh Jones has resigned from the Board, effective immediately. Mr Jones has lead the development and growth of Airwork for over 30 years, culminating in the sale of the majority of his interest to Rifa. The Board acknowledges the role Mr Jones has played in making Airwork the successful business it is today, and wishes Mr Jones all the best for his future endeavours. Mr Rob Flannagan (independent director) has given notice of his intention to resign from the Board upon appointment of a replacement independent director. Mr Flannagan joined the Board in 2013 and is currently Chairman of the Audit Committee. The Company will shortly commence a search for suitable candidate for the role.
