ANZ launches Bond offer

NZDX Announcement For release: 21 May 2018 ANZ launches Bond offer ANZ Bank New Zealand Limited (ANZ) announced today that it is making an offer to New Zealand retail and institutional investors of up to NZ$100 million of a new series of unsecured unsubordinated fixed rate bonds (Bonds), with the ability to accept unlimited oversubscriptions at ANZ's discretion. The offer opens today, 21 May 2018, and is expected to close on 24 May 2018. The Bonds are expected to be issued on 30 May 2018. The Bonds have a maturity date of 30 May 2023 and an indicative margin of 1.00% - 1.05% per annum. The margin (which may be above or below the indicative margin) and the interest rate (being the margin plus the swap rate as described in the terms sheet) will be set following a bookbuild process on 24 May 2018 and will be announced by ANZ via NZX shortly thereafter. A Terms Sheet has been prepared for the offer, which contains more information. The Terms Sheet is available through www.anz.co.nz/about-us/media-centre/investor-information or by contacting ANZ. Investors must receive a copy of the Terms Sheet before they acquire any Bonds. The issuer only intends to make a primary offer of these Bonds to the public in New Zealand and to certain New Zealand institutional investors. The Bonds are expected to be rated AA- by Standard & Poor's, A1 by Moody's and AA- by Fitch Ratings prior to the Issue Date. The Bonds will not be guaranteed by any person, and Australia and New Zealand Banking Group Limited does not guarantee ANZ. The Bonds are expected to be quoted on the NZX Debt Market. There is no public pool for the Bonds. Investors should contact ANZ, their financial intermediary or a Primary Market Participant to apply for the Bonds. The minimum application amount in respect of the Bonds is NZ$10,000 and in multiples of NZ$1,000 thereafter.
