We refer to Grafton Health Holdings Limited's ("Grafton") full takeover offer for all of the fully paid ordinary shares in Orion Health Group Limited ("Orion") dated 15 February 2019 ("Offer"). 2. Grafton has now received acceptances of the Offer in respect of 93.68% of Orion's issued share capital, which has resulted in Grafton controlling more than 90% of the voting rights in Orion. Accordingly, Grafton hereby gives notice, as required by rule 51 of the Takeovers Code, that it has become the dominant owner (as that term is defined in the Takeovers Code) of Orion.
