OHE Takeover Update

MARKET ANNOUNCEMENT Takeover Update - Grafton Takeover Offer Crosses 50% Acceptance Threshold Auckland, 15 March 2019 - Orion Health Group Limited (NZX / ASX: OHE) (Orion) has been notified that Grafton Health Holdings Limited (Grafton) has received acceptances under its takeover offer (the Offer) in respect of more than 50% of the ordinary shares in Orion (the Shares), excluding Shares that were subject to pre-commitments. This means that the price payable by Grafton under the compulsory acquisition process, once commenced by Grafton after the Offer, will be the same as the price offered by Grafton under the Offer (being NZ$1.224 per Share). Accordingly, a letter attached to this Market Announcement is recommending that shareholders who have not yet accepted the Offer, accept the Offer as soon as possible.
