Implementation of scheme of arrangement

Implementation of scheme of arrangement MHM Automation Limited (NZX: MHM) (MHM) is pleased to confirm that the scheme of arrangement in relation to the acquisition of 100% of the shares in MHM by Bettcher Industries, Inc. through its wholly-owned subsidiary, Merlin NZD Bidco Limited (Bettcher NZ), (Scheme) has been implemented. Following implementation of the Scheme, Bettcher NZ holds 100% of the shares in MHM. The Scheme consideration of NZ$1.70 per share in cash has today been paid to shareholders who held shares in MHM at 7.00pm on the Record Date (28 February 2024). At the close of trading on 23 February 2024, trading in MHM shares on the NZX Main Board was suspended. MHM will be delisted from NZX by close of trading today.
