Vital Limited (VTL) Governance Changes

20 February 2023 BOARD GOVERNANCE CHANGES Vital Limited (VTL) advises the following Board governance changes. Mr Rod Snodgrass has advised that due to pressure from external commitments he will be resigning as a director of Vital with effect on 30 April 2023. Rod has been a valued contributor to the Board, providing exceptional industry knowledge and skills. The Directors thank him for his contributions and wish him well. With effect from today, Mr Mike Shirley is joining the Board as an independent director. Mike has extensive telecommunications industry experience including voice, data, internet and mobile at both Spark and Vocus. Most recently, he is the General Manager of Fibre for Vector with full responsibility for that business. Mike holds a Bachelor of Psychology and has post graduate studies in marketing and management. VTL notes there is overlap between Vector's fibre business and Vital's Auckland fibre network, however this is not considered material to either party and appropriate conflict management processes will manage any issues that might arise. Mr Shirley is considered by the Board to be an independent director for the purposes of NZX Listing Rule 2.6.1. These changes conclude the Board renewal process begun last year and will result in a Board size of four directors for VTL.
