The shares will be held in Treasury. Following the above purchase, the Company's issued ordinary share capital will continue to be 502,664,868 ordinary shares of 25p each, of which 1,706,920 are held in Treasury and have no voting rights. The number of ordinary shares to be used in the calculation of voting rights is now 500,957,948. The number of voting rights in the Company is now: a) 33,397,196 in respect of the ordinary shares (one vote for every 15 shares held); b) 30,198 in respect of the First Preference Stock (one vote for every ?10 of stock held); and c) 29,484 in respect of the Preferred Ordinary Stock (one vote for every ?20 of stock held). Therefore, the total number of voting rights in the Company is 33,456,878.
