That the Company has appointed Miss Isobel Sharp to the Board as a non-executive director with effect from 1 November 2017. Isobel has extensive accounting, auditing and corporate governance experience. Most recently she was with Deloitte LLP as the firm's Senior Technical Partner until 2012. She has served as President of The Institute of Chartered Accountants of Scotland and on the UK Accounting Standards Board and the Financial Reporting Review Panel and was awarded the CBE in 2009. Isobel is currently a non-executive director, and Audit Committee Chair, at IMI plc and Winton Group Ltd and was formerly on the board, and Remco Chair, at the UK Green Investment Bank plc. She is also a member of the Edinburgh University's Business School International Advisory Board and, as an Honorary Professor there, lectures on corporate governance and auditing matters. 2. That Mr Matthew Thorne, who is the Company's Audit Committee Chairman, is to retire from the Board at the conclusion of the 2018 Annual General Meeting on 21 February 2018 having served as a non-executive director of the Company since 27 November 2008. 3. That Mr David Wild, who after serving four years on the Board, will not be seeking re-election at the 2018 Annual General Meeting due to other work commitments and is to retire from the Board on 21 February 2018. It is the Board's intention that Ms Sharp will succeed Mr Thorne as Audit Committee Chair when he retires from the Board at the conclusion of the 2018 Annual General Meeting. In accordance with paragraphs 9.6.13 (1) to (6) of the Listing Rules, it is confirmed that there are no additional details to be disclosed in relation to Ms Sharp.
