Migration NZAX Market to NZX Main Board – Cleansing Notice

17 December 2018 Client Market Services NZX Limited Level 1, NZX Centre 11 Cable Street Wellington 6011 TRUSCREEN LIMITED - MIGRATION FROM NZAX MARKET TO NZX MAIN BOARD- CLEANSING NOTICE Truscreen Limited (NZAX:TRU) has announced its intention to migrate from the NZAX Market to the NZX Main Board. This process involves: o TRU delisting and ceasing to have its ordinary shares quoted on NZAX, in accordance with the NZAX Listing Rules; and o listing and having its ordinary shares quoted on the NZX Main Board, in accordance with NZX Main Board/Debt Market Listing Rules (Rules) 5.1.1 and 5.2.1. As part of the migration to the NZX Main Board, NZX has requested TRU to issue a Cleansing Notice to the market. Accordingly, TRU advises that as at the date of this notice, TRU is in compliance with: 1. its financial reporting obligations in terms of the Companies Act, the Financial Markets Conducts Act, and the NZAX Market Listing Rules; 2. the continuous disclosure obligations and all other alternative disclosure obligations under the listing rules of the NZAX market that apply to TRU's quoted ordinary shares on the NZAX Market; 3. the continuous disclosure obligations under the listing rules of the NZX Main Board as if the shares on issue in TRU were quoted on the NZX Main Board as at the date of this notice; and 4. there is no material information (within the meaning of section 59 of the FMC Act applied as if the offer was a regulated offer) that is not generally available to the market and has not been disclosed to the market under a continuous disclosure obligation or an alternative disclosure obligation.
