Director Appointment and Financing Update

NZAX ANNOUNCEMENT 27 February 2019 Director Appointment and Financing Update Cooks Global Foods Limited (CGF) is pleased to announce the appointment of Mr Qiang Kui to the CGF Board. As discussed in CGF's Alteration to Notice of Annual Meeting dated 21 September 2018, Mr. Zhe Hui advised that he will be retiring from the CGF Board and did not stand for re-election. Yunnan Metropolitan Construction Investment Group Ltd (YMCI) was to then offer to the CGF Board a new candidate. Mr. Kui has been nominated by YMCI to be appointed to the CGF Board as Director. Qiang Kui Mr Kui is the Chief Financial Officer of Caiyun International Investment Limited, Director and Chief Financial Officer of YMCI's Australian operations, and is in charge of supervising the accounting, financial, compliance and reporting policies of YMCI's overseas investment projects. Mr Kui has a Bachelor's degree in E-Commerce, a Masters in Accountancy and has 8 years of experience working as a financial and budget controller and in financial and taxation management. Mr Kui has provided financial services for companies such as Dalian Neusoft and Huawei. Mr Kui joined YMCI in 2015 as a budget specialist, specialising in overseas investment management. The Board welcomes Mr Kui and his extensive commercial experience. ANZ Debt Facility Step Down As discussed in CGF's Half Yearly Report for the six months to 30 September 2018, ANZ Bank had agreed to a phased extension to the repayment of CGF's credit facilities following the termination of the proposed Mojo acquisition. The ANZ have agreed a further amendment to the repayment terms. The ANZ reduced the credit card and letter of credit facility by $100,000 from 1 February 2019 and CGF's flexi facility is to be reduced from $375,000 to $100,000 on 28 February 2019. All remaining facilities are to be repaid on 31 March 2019. CGF is in discussion with alternative banking providers to obtain new debt facilities.
