Pip Greenwood confirmed as an independent director

MARKET RELEASE 30 May 2019 Pip Greenwood confirmed as an independent director The Spark New Zealand Board has today determined that as at 30 May 2019 Ms Pip Greenwood is reclassified as an independent director. Ms Greenwood joined the Board of Spark on 30 April 2018 and was at that time a Partner and board member of Russell McVeagh, a law firm that continues to provide professional services to Spark. At that date the Board determined Ms Greenwood to be independent. As noted in Spark's 2018 Annual Report, following Ms Greenwood's appointment as interim CEO of Russell McVeagh on 16 August 2018, the Board determined that she was no longer independent, due to the increased risk that while serving as interim CEO Ms Greenwood could be perceived to be materially influenced when making decisions as a director of Spark. Ms Greenwood subsequently stepped down as interim CEO of Russell McVeagh in October 2018 and, having also ceased to be a Partner of Russell McVeagh on 31 March 2019, no longer has any professional relationship with Russell McVeagh. As such the Spark New Zealand Board has now determined that Ms Pip Greenwood is independent.
