Enprise Group Limited (“ENS”) – Late Annual Report

Memorandum To: Market Participants From: NZX Product Operations Date: Thursday, 1 August 2019 Subject: Enprise Group Limited ("ENS") - Late Annual Report Message: NZX Regulation ("NZXR") advises that Enprise Limited ("ENS") has not issued its Annual Report to NZX for the period ending 31 March 2019. Rule 3.6.1 of the NZX Listing Rules dated 1 January 2019 requires issuers to release an annual report within 3 months after the end of each financial year. As part of the migration from the NZAX, NZX Regulation granted a class waiver that allowed NZAX issuers to take advantage of the longer reporting time periods in the NZAX Rules for the transitional period. As a result, ENS could rely on NZAX Listing Rule 10.5.1 to release its Annual Report on or before Wednesday, 31 July 2019. Pursuant to NZX Listing Rule 9.9.3, if an Issuer has not issued its Annual Report within 5 business days of the due date, trading of that Issuer's securities will be suspended until the Issuer has issued its Annual Report. Accordingly, if ENS does not provide its Annual Report by market close on Wednesday, 7 August 2019, NZXR gives notice that trading in ENS's securities will be suspended, effective from market open on Thursday, 8 August 2019.
