Auckland, New Zealand 2 August 2019 Results of EROAD Limited 2019 Annual Shareholders' Meeting EROAD Limited (NZX: ERD) advises that all resolutions put to the company's annual shareholders' meeting held in Auckland on 1 August 2019 were passed. The four resolutions were: 1. To elect Steven Newman as a Director. 2. To elect Susan Paterson as a Director. 3. To authorise the Directors to fix the fees and expenses of EROAD's auditor. 4. To amend EROAD's constitution in the form and the manner described in the Notice of Meeting. All of the resolutions were passed by poll with the voting results as follows. Resolution 1: To elect Steven Newman as a Director. For: 42,491,525 (99.99%) Against: 5,660 (0.01%) Abstain: 3,500 Resolution 2: To elect Susan Paterson as a Director. For: 40,294,730 (94.81%) Against: 2,205,955 (5.19%) Abstain: 0 Resolution 3: To authorise the Directors to fix the fees and expenses of EROAD's auditor.
