2019 ANNUAL SHAREHOLDER MEETING RESULTS The Annual Shareholder Meeting (ASM) of Genesis Energy Limited (GNE) was held in Auckland, on Wednesday 16 October 2019. All resolutions put before the ASM were decided by poll. The number of votes cast in person or by proxy were as follows: Resolution: 1. Re-election of Timothy Miles Votes For: 702,661,352 Percentage For: 99.97% Votes Against: 179,029 Percentage Against: 0.03% 2. Re-election of Maury Leyland Penno Votes For: 701,996,076 Percentage For: 99.88% Votes Against: 825,014 Percentage Against: 0.12% 3. Re-election of Paul Zealand Votes For: 702,693,991 Percentage For: 99.98% Votes Against: 139,058 Percentage Against: 0.02% 4. Election of Catherine Drayton Votes For 701,979,753 Percentage For 99.88% Votes Against: 833,364 Percentage Against: 0.12% 5. Amendment of the Company Constitution Votes For 701,880,513 Percentage For 99.88% Votes Against: 830,908 Percentage Against: 0.12% This confirms re-election of Timothy Miles, Maury Leyland Penno and Paul Zealand and the election of Catherine Drayton to the Genesis Energy Board of Directors. Independence of Directors In accordance with NZX Listing Rule 2.6, the Board determined that Timothy Miles, Maury Lelyand Penno, Paul Zealand and Catherine Drayton are independent non-executive Directors. The Board's criteria for determining independence is consistent with the requirements set out in the NZX Main Board Listing Rules. The Board reconfirms that the other members of the Board, namely, Barbara Chapman, as Chairman, Doug McKay and James Moulder, are independent non-executive Directors. As communicated to shareholders in August 2019, Joanna Perry has retired as a Director of Genesis, with effect from the conclusion of the ASM.
