AIA – 2019 Annual Meeting Shareholder Poll Results

Media Release | 23 October 2019 Shareholder poll results for Auckland Airport The annual meeting of shareholders of Auckland International Airport Limited was held at the Ellerslie Events Centre today. The five resolutions proposed by the company were passed by shareholders. Full details of the polls conducted are set out below. Christine Spring was re-elected to the board. She was appointed a director of the company in 2014. Elizabeth Savage was elected to the board as a new independent director. The total quantum of Directors' fees was increased by $26,630 from $1,566,720 to $1,593,350. Deloitte was automatically reappointed as auditor under section 207T of the Companies Act 1993 and confirmed as the company's auditor. Directors were authorised to fix the fees and expenses of the auditor. The company amended its existing constitution, in the form tabled at the meeting and signed by the chairperson for the purpose of identification, with effect from the close of the annual meeting. Results of polls: Resolutions 1. To re-elect Christine Spring Strange For: 810,788,606 Against: 3,178,735 % in favour: 99.61% 2. To elect Elizabeth Savage as a Director For: 813,417,786 Against: 500,550 % in favour: 99.94% 3. To increase the directors' fees by $26,630 from $1,566,720 to $1,593,350 For: 803,222,854 Against: 9,312,031 % in favour: 98.85% 4. To authorise the directors to fix the fees and expenses of auditor For: 812,925,609 Against: 1,060,656 % in favour: 99.87% 5.
