Opening of $5 million Share Purchase Plan

Market Release 31 October 2019 Serko announces opening of NZ$5 million share purchase plan Serko Limited (NZX/ASX:SKO), a leader in online travel booking and expense management for business, is pleased to announce the opening of its NZ$5 million share purchase plan ("SPP"). The SPP is part of Serko's equity raising initiative announced on 24 October 2019, whereby Serko announced that it had undertaken a targeted placement to issue NZ$40.0 million of shares to Booking Holdings Inc. and New Zealand and Australian investors at a price of $4.04 per share (the "Placement"). In addition to the Placement, certain Serko directors and employees (including Simon Botherway (Chairman) and Darrin Grafton (CEO)) have collectively sold down approximately NZ$16 million of Serko shares at NZ$4.04 per share. Eligible New Zealand and Australian resident shareholders will receive their personalised application forms to apply for up to a maximum of NZ$15,000 / AU$13,950 of new shares per shareholder, at the lower of the price paid by investors in the recent placement, being NZ$4.04, or the five day volume weighted average price of SKO shares traded on the NZX during the last five days of the SPP offer period.
