Execution of Deed of Amendment and Restatement

NorthWest Healthcare Properties Management Limited (NWM), the manager of Vital Healthcare Property Trust (Vital), today announced that it has executed a Deed of Amendment and Restatement of Vital's Trust Deed (Amended Trust Deed) with Vital's Supervisor, Trustees Executors Limited. At Vital's annual meeting held on 31 October 2019, Unitholders voted by means of a special resolution on the amendments to Vital's Trust Deed. These amendments included a change to the fees that NWM charges to manage Vital's assets and governance arrangements. The Trust Deed Amendments were approved, with 138,893,989 (99.91%) voting for the amendments and 124,528 (0.09%) voting against the amendments. Accordingly, NWM has entered into the Amended Trust Deed to give effect to the approval given by the special resolution of Vital's Unitholders. The Amended Trust Deed has been certified to be in compliance with sections 135 to 137 of the Financial Markets Conduct Act 2013 on the basis that the Amended Trust Deed will continue to provide adequately for the matters required by those sections. The Amended Trust Deed is effective as of 7 November 2019.
