New Zealand Commerce Commission Clearance Obtained

The Board of Smartpay wishes to advise that the New Zealand Commerce Commission today confirmed clearance of the proposed acquisition by Verifone Inc of Smartpay's NZ business and assets. As previously advised to the market, the original deal was terminated by Verifone due to this condition not having being satisfied by the Condition Date of 30 April 2020. Notwithstanding the termination of the original deal, Smartpay views the Clearance as a positive outcome as it clears the way should any subsequent deal with Verifone be agreed.
