Under the Termination Agreement, the parties have agreed to terminate the Transaction Agreement dated 23 August 2011 (as disclosed to the market in a substantial product holder notice dated, and submitted by the JCR Investment Trust on, 21 September 2011) and that all shares in BFG beneficially owned by the Mason Family Trust, but legally held by MRH, shall be transferred to the Mason Family Trust (as further described in the Termination Agreement). A copy of the Termination Agreement is attached to this disclosure (page 1 to 8). A decrease in the JCR Investment Trust's substantial holding has arisen due to the JCR Investment Trust ceasing to have a relevant interest in 3,252,977 ordinary shares in BFG, that it had the power to control the acquisition or disposal of pursuant to the terms of the Transaction Agreement (as described above), as the Transaction Agreement has been terminated in accordance with the Termination Agreement.
