This included the following resolutions: As Ordinary Resolutions: - Resolution 11: to approve the sub-division ('Share Split') of the Existing Ordinary Shares of 25p each into 10 New Ordinary Shares of 2.5p each with effect from 1 March 2021; - Resolution 12: to authorise the Directors to allot ordinary shares up to 10% of the issued ordinary share capital; As Special Resolutions: - Resolution 13: to authorise the Directors to allot or to sell from treasury up to 10% of the issued ordinary share capital without first offering them to existing shareholders in accordance with statutory pre-emption procedures; - Resolution 14: to authorise the Company to make market purchases of the Company's ordinary shares up to 14.99% of its issued ordinary share capital; - Resolution 15: to authorise that a General Meeting other than an Annual General Meeting may be held on not less than 14 clear days' notice; and - Resolution 16: to approve and adopt new Articles of Association.
