Seeka Limited – Notice of Issue of Securities

Seeka has issued 7,042,574 ordinary shares on the cancellation of shares in Opotiki Packing and Cool Storage Limited ("OPAC") in the ratio of 1.4833 shares in Seeka for each share in OPAC, based on a price of $4.82 per Seeka share (equal to the VWAP of shares traded over 10 business days, finishing on 24 March 2021, with all fractions of Seeka Shares rounded up to the next whole number) The shares are issued as other consideration in connection with the acquisition by Seeka of OPAC by way of an Amalgamation of OPAC and Seeka Eastern Star Limited (a wholly-owned subsidiary of Seeka Limited to be renamed Seeka OPAC Limited) under section 223 of the Companies Act 1993 as set out above, which is due to become effective today.
