Acquisition of Minimum Holdings

Market Announcement 26 July 2021 ACQUISITION OF MINIMUM HOLDINGS Promisia Healthcare Limited (NZX:PHL) (Promisia) wishes to advise the market that the Board has resolved to acquire the shares held by persons with less than a minimum holding on Friday, 30 July 2021. On 16 February 2021, Promisia gave notice to shareholders that at the expiration of three months, being 16 May 2021, the Board would hold a power of sale over holdings of less than $1,000 of Promisia shares (calculated at a price per share of $0.002) (Minimum Holdings). On Friday, 30 July 2021, Promisia will acquire back all the shares comprising Minimum Holdings and cancel them. The price payable per share by Promisia will be the volume weighted average price of a Promisia share on the NZX Market over the 20 business days preceding Friday, 30 July 2021. In accordance with Promisia's constitution, shareholders whose proceeds are $20.00 or less will not receive payment for their shares. Those aggregate proceeds will be donated to KidsCan by Promisia. To facilitate the orderly acquisition of these shares, shareholders who hold less than a Minimum Holdings will have trading in their shares locked with effect from market close on Tuesday, 27 July 2021.
