Radius Care $5 million Retail Offer Oversubscribed

NZX RELEASE NOT FOR DISTRIBUTION OR RELEASE IN THE UNITED STATES 12 August 2021 Radius Care $5 million Retail Offer Oversubscribed Radius Residential Care Limited (NZX: RAD) (Radius Care) is pleased to announce that its non-underwritten $5 million retail offer (Retail Offer) has closed oversubscribed. The Retail Offer was well supported by shareholders, with Radius Care receiving applications totalling approximately $8.2 million, being 64.58% above the Retail Offer amount. Radius Care will accept all oversubscriptions, being approximately $3.2 million. The Retail Offer was part of Radius Care's equity raising announced on 8 July 2021 under which Radius Care also undertook a $30 million placement of new ordinary shares in Radius Care (Shares) to institutional shareholders, high net worth investors and retail investors (Placement) and issued $10 million of new Shares to nominees of Ohaupo Holdings Limited, being the vendor of the land and buildings at four strategically important aged care facilities as part consideration for the purchase price for such land and buildings. The acceptance of the oversubscriptions in the Retail Offer brings the total amount of new equity raised by Radius Care across all components of the equity raising to approximately $48.2 million. The new Shares under the Retail Offer will be issued at a price of $0.52, being the same price for each component of the equity raise as determined by the Placement price. Settlement of the Retail Offer is expected to occur tomorrow, 13 August 2021. Trading of new Shares issued under the Retail Offer is also expected to commence on NZX tomorrow, 13 August 2021.
