Amended POT Notice of Annual Meeting 29 October 2021

Attached is the amended Port of Tauranga Limited's ("POT") Notice of Meeting for 29 October 2021, at 1.00pm, together with Explanatory Notes and Proxy Form. Amendments made are as follows: Notice of Meeting: - Page 4 of the Voting Instruction contains updated link to Online Portal Guide in two places: under "Shareholders can vote in the following ways" point 2 (end of para), and at bottom of page under "Attendance online" (end of para). Proxy Form: - Page 1, under "Appointment of Proxy", "Voting of your holding" additional text added in at end of para: In accordance with the voting restrictions in the Listing Rules and the Company's Constitution, no vote may be cast by the Directors or any of their respective associated persons (as defined in the Listing Rules) in favour of Resolution 2. A Director, or an associated person of a Director, who has been appointed as proxy or representative for another shareholder who is not disqualified from voting in favour of Resolution 2 may exercise that vote only in accordance with the express instructions of that shareholder given in the proxy form. A Director, or an associated person of a Director, may not exercise any discretionary proxy votes in favour of Resolution 2. - Page 1, under "Attending the Meeting" online link changed from: "www.virtualmeeting.co.nz/pot20" to "www.virtualmeeting.co.nz/pot21" and link to Online Portal Guide changed from "www.linkissuers.co.nz/virtualmeeting" to "https://bcast.linkinvestorservices.co.nz/generic/docs/OnlinePortalGuide.pdf" . - Page 1, under "Signing instructions for Proxy Forms", under "Joint Holding", wording change from "this Proxy Form must be signed by each of the joint shareholders" to "this Proxy Form may be signed by either of the joint shareholders". - Page 2, under "Step 2: Items of Business", wording change from "you are directing your proxy not to vote on your behalf on a show of hands or a poll" to "you are directing your proxy not to vote on your behalf during a poll" (removed "on a show of hands or" and inserted "during"). - Page 2, under "Step 3: Shareholder Questions", "Signature of Security Holders", changed the word "security holders" to "shareholders" - and also above the three boxes (1, 2 and 3).
