STOCK EXCHANGE ANNOUNCEMENT 21 September 2021 Director nomination and retirement Miriam Dean nominated as a Chorus Director Chorus has announced that its Board unanimously supports the nomination of Miriam Dean to stand for election as an independent non-executive director at its 2021 annual shareholders' meeting on 27 October. Patrick Strange, Chorus' chair, said the Board supported Miriam's appointment following an extensive search. "As a Queen's Counsel and independent director, Miriam has spent decades in commercial dispute resolution and governance roles, working for high-profile companies in a range of sectors and governmental advisory boards and committees. "Her speciality in competition, consumer and regulatory law will complement and strengthen the Board's existing skillset," he said. "Miriam has significant experience in the infrastructure and regulatory sectors, most notably as a current director of Otakaro Limited (the Crown-owned company responsible for the central city anchor projects following the Canterbury earthquakes); as a former director of Crown Infrastructure Partners (the Government organisation managing the rollout of New Zealand's ultrafast broadband); as a former deputy chair of Auckland Council Investments; and as a former deputy chair of the Commerce Commission." Prue Flacks to retire as Chorus Director Chorus has announced that Prue Flacks will step down from the Board at Chorus' 2021 annual shareholders' meeting. Prue is a founding director and has been on the Board since Chorus' establishment in 2011. "It has been a privilege contributing to the success of Chorus, a company critical to New Zealand's future in an increasingly digital world," she said. "I believe I am standing down with the company in good shape, with the performance of the network and rollout of fibre vastly exceeding original expectations. I want to thank my fellow Board members and management for their efforts and contributions in helping Chorus to position itself for a bright future," she said. Chorus chair Patrick Strange thanked Prue for her major contribution to Chorus.
