Director Nomination Period and Annual Meeting Update

Gentrack Group Limited (NZX/ASX: GTK) (Gentrack) wishes to advise the following: o the closing date for director nominations is Friday 6 January 2023 and all nominations must be received by Gentrack Group Limited before or on that date (NZT); and o the Annual Meeting of Shareholders (ASM) will be held virtually on Thursday 23 February 2023. The decision to continue to hold the ASM virtually reflects the global nature of the business. The CEO, CFO, other key executives, and the majority of Board members, including the Chair, are located in the United Kingdom or Australia and their attendance in person would result in significant cost and other logistical challenges. The CEO and CFO recently visited New Zealand and Australia for the FY22 Full Year Results. In addition, the majority of Gentrack's shareholders are New Zealand, Australia or United Kingdom based. We are currently investigating technology which would enable shareholders in attendance to ask follow-on questions at the ASM. Nominations must be made by a shareholder entitled to attend and vote at the ASM and be accompanied by a brief resume of the nominee and the consent in writing of the person nominated.
