Proposed acquisition of control of Solution Dynamics

Being AI Limited (NZX: BAI) advises that its wholly-owned subsidiary Being BidCo Limited (Being BidCo), has approached Solution Dynamics Limited (NZX: SDL) to indicate that it is considering making a takeover offer to acquire a controlling interest in SDL. Being BidCo has indicated to SDL that it would be prepared to acquire SDL shares through either a 100% BAI scrip option or an offer for a combination of cash and BAI scrip. Being BidCo believes the proposed takeover offer is a compelling and unique opportunity for SDL shareholders to realise significant value for their investment in SDL, and an opportunity to participate in the growth of Being AI. Shareholders will have an opportunity to discuss this initiative at BAI’s annual meeting being held at 10am later this morning.
