Capital Change Notice – Issue as partial consideration

Infratil provides the attached Capital Change Notice pursuant to NZX Listing Rule 3.13.1. This notice relates to the issue of 17,605,277 ordinary shares to TECT Holdings Limited as partial consideration for the acquisition of shares in Contact Energy Limited under the terms of the agreement between Infratil Limited and TECT Holdings Limited dated 20/10/2025.
