KMD Brands Limited (“KMD”) – Share Consolidation

Memorandum To: Market Participants From: NZX Product Operations Date: Wednesday, 24 June 2026 Subject: KMD Brands Limited (“KMD”) – Share Consolidation Message: On Wednesday, 24 June 2026, KMD Brands Limited (“KMD”) announced that it will undertake a share consolidation. Every twenty-five (25) KMD ordinary shares held by shareholders as at 7:00pm NZST (5:00pm AEST) on the Record Date will be consolidated into one (1) KMD ordinary share. For the Share Consolidation to be processed and for trading on the NZX Main Board to continue, the following will occur to facilitate the event: • A temporary ticker code (“KMDZ”) with a new ISIN (“NZKMDE0007S0”) will be created to trade the KMD ordinary shares through to implementation of the consolidation. • KMDZ will trade on the NZX Main Board from market open on the Ex-Date, Tuesday, 30 June 2026 until close of business on the Record Date, Wednesday, 1 July 2026. Trading in KMDZ will be on a post-consolidation basis. • On Thursday, 2 July 2026, trading will resume using the original KMD Brands Limited ticker code, KMD, with the new ISIN NZKMDE0007S0 continuing to be used. At that time, the temporary ticker code KMDZ will cease. • From Ex date, Tuesday, 30 June 2026, the ISIN for KMDZ on the NZX will be different to the ISIN for KMD on the Australian Securities Exchange ("ASX"). The difference in ISINs will not impact trading, clearing or settlement of trades executed on the NZX. The ISINs are expected to be aligned from the week commencing Monday, 13 July 2026, with the new ISIN NZKMDE0007S0 being used on both NZX and ASX from that time A timetable of NZX events is attached.
