Board Changes – Retirements and Appointments

Director Retirements Gentrack Group Limited’s (NZX/ASX: GTK) (Gentrack) announces that long-standing Directors, Fiona Oliver and Stewart Sherriff, will retire from the Board of Directors of Gentrack on 14 August 2026 and 31 December 2026 respectively. Fiona Oliver, who joined the Gentrack Board in February 2019, has advised that she will retire as a Director after seven years of service. Gentrack Chair Andy Green said, ‘Fiona has made an outstanding contribution to Gentrack during her tenure, including as Chair of the Audit and Risk Committee and as Interim Chair of the Board. Her deep governance expertise, sound judgement and commitment have been highly valued by the Board and management team. We thank Fiona for her significant contribution to Gentrack. Stewart Sherriff was appointed to the Gentrack Board in October 2020 and was due to retire by rotation under the NZX Listing Rules at the next Annual Shareholder Meeting. However, following the successful completion of the Board's succession and renewal programme, Stewart has elected to bring forward his retirement to the end of the year. Chairman Andy Green noted that, ‘Throughout Stewart’s tenure, he has brought his experience of scaling businesses as a Chief Executive to the Board and we have benefited greatly from this wisdom. We thank Stewart for his contribution’. Director Appointments As part of the Board's ongoing succession and renewal programme, a global search was undertaken to identify candidates whose skills, experience and perspectives align with Gentrack's strategic priorities and future growth opportunities. Following a successful search, the Board is pleased to announce the appointments of Stewart Taylor, Laurence Lafont, and Trond Straume as independent non-executive directors of Gentrack: * Stewart Taylor, based in New Zealand, brings more than 25 years' experience across a range of senior finance and executive leadership roles. He is currently Chief Financial Officer of NZX (and ASX foreign exempt) listed Spark New Zealand, one of New Zealand's leading telecommunications and digital services companies. Stewart will assume the role of Chair of Gentrack's Audit and Risk Committee. * Laurence Lafont, based in Paris, France, is an experienced global technology executive with extensive leadership experience across cloud computing, telecommunications, enterprise software and digital transformation. Her career to date, includes senior roles with Oracle and Nokia, as well as Chief Operating Officer of Microsoft France and Vice President, Strategic Industries EMEA at Google Cloud. Laurence is building a portfolio governance career and currently holds independent director roles in the technology and engineering sectors. * Trond Straume, based in Switzerland and Norway, is a technology executive with deep expertise in enterprise software, industrial technology, energy systems and digital transformation. He has extensive experience leading software businesses through growth, mergers and operational transformation. Trond is currently a Managing Director at Partners Group AG, where he focuses on technology investments, portfolio value creation and AI transformation initiatives. He is also a board member of Cloudflight (a European digital transformation and software engineering company), and Chairman of Green Data Center Technologies (a company focused on sustainable data centre solutions).
