Minimum Holdings Notice

26 August 2026 Minimum Holdings Notice BLIS Technologies Limited (NZX: BLT) (BLIS) advises that the Board has set a minimum holding of 26,738 BLIS shares, based on a minimum holding value of $500 and the average market price of BLIS shares of $0.0187 as at 26 August 2026 (being the volume weighted average price of the Shares for the 20 business day period prior to the date of this resolution). Under its constitution and the NZX Listing Rules, BLIS is permitted to exercise a power of sale of shares held by any person holding less than a Minimum Holding. BLIS recognises that it is difficult for some shareholders to sell small parcels of shares because the cost of brokerage can be disproportionately high relative to the value of their shareholding. Maintaining a large number of small shareholdings also involves ongoing registry and administration costs for BLIS. The Board considers that the implementation of a minimum holding requirement will assist BLIS to maintain an efficient share register. Accordingly, the BLIS Board advises that it intends to exercise its power in relation to any person holding less than 26,738 BLIS shares (being the Minimum Holding). In accordance with clause 5 of the BLIS constitution and NZX Main Board Listing Rule 4.14.1(d)(iii), the Board will today give notice to affected shareholders holding less than a Minimum Holding that if those shareholders continue to hold less than the Minimum Holding at the expiry of three months after the date of the notice, being 26 November 2026, BLIS intends to exercise its power of sale by acquiring and cancelling those shares through an off-market share buyback. The buy back price per share will be equal to the volume weighted average price of BLIS shares over the 20 business day period prior to the date the shares are acquired by BLIS. BLIS will meet the sale expenses associated with the buy back. The attached notice will be sent to affected shareholders today and sets out in detail the options available to those shareholders.
