Memorandum To: Market Participants From: NZX Product Operations Date: Monday, 31 August 2026 Subject: Winton Land Limited (“WIN”) – Suspension of Quotation Message: NZ RegCo advises that it has exercised its discretion under the NZX Listing Rules and suspended the quotation of ordinary shares of Winton Land Limited (“WIN”). The suspension follows announcements last week by WIN that three of its directors, including two independent directors, have resigned with effect from today. As a result of those resignations, the board of WIN currently only has one independent director. This means WIN no longer meets the NZX Listing Rules governance requirements relating to board and audit committee composition, including as to the minimum number of independent directors on the board and in relation to various audit committee composition requirements under NZX Listing Rule 2.13.2. NZ RegCo considers that a suspension is in the best interests of the market, given the intent and objectives of the NZX Listing Rules governance requirements.
