7 August 2020 CLEANSING NOTICE FOR DRP UNDERWRITING 1 Oceania Healthcare Limited (OCA) has entered into an underwriting agreement with Macquarie Securities (NZ) Limited (underwriter) under which the underwriter has agreed to subscribe, or procure subscriptions, for shares not taken up under OCA's dividend reinvestment plan relating to the NZ 1.2 cents per share final dividend to be paid on 17 August 2020 at the same price as issued under the dividend reinvestment plan (underwritten shares). 2 The shares to be issued are offered, and may be on-sold or transferred, in reliance upon the exclusion in clause 19 of Schedule 1 to the Financial Markets Conduct Act 2013 and ASIC Instrument 18-0760, and without disclosure under Part 6D.2 of the Australian Corporations Act 2001 (Cth) (Corporations Act). 3 This notice is provided under clause 20(1)(a) of Schedule 8 of the Financial Markets Conduct Regulations 2014 (Regulations) and under paragraph 708A(12J) of the Corporations Act as notionally inserted by ASIC Instrument 18-0760. 4 As at the date of this notice, OCA is in compliance with its continuous disclosure obligations that apply to it in relation to its quoted ordinary shares, and there is no "excluded information" (as defined in clause 20(5) of Schedule 8 to the Regulations). 5 As at the date of this notice, OCA is in compliance with its financial reporting obligations (as defined in clause 20(5) of Schedule 8 to the Regulations). 6 The issue of shares under the underwriting agreement and the subsequent on-sale or transfer of such shares will have no effect on the control of OCA.
