Notification of acquisition of equity securities

26 August 2021 NOTIFICATION OF ACQUISITION OF EQUITY SECURITIES Oceania Healthcare Limited (NZX: OCA) gives notice in accordance with NZX Listing Rule 4.14.2 that on or about 1 September 2021, OCA will acquire 3,164,556 ordinary shares in OCA (Shares). The Shares are currently held by OCA Employees Trustee Limited (the Trustee) as "Forfeited LTI Plan Shares" under OCA's 2017 executive long term incentive plan (Plan). The Plan is no longer in use and the Trustee has exercised a put option in respect of the Shares under the terms of the Plan. Pursuant to the terms of the put option, the consideration for the acquisition of the Shares is the aggregate amount of all loan balances in respect of such Shares currently payable by the Trustee to OCA. The maximum number of Shares in OCA to be acquired is 3,164,556. They will be acquired no later than one month after the date of this notice. The Shares will be cancelled upon acquisition.
